The following terms and conditions (“Terms of Service”; “Terms”) contain regulations for the use of all resources and services of Bitquery Inc., a company incorporated in the state of Delaware (“Bitquery”; “we”; “our”,”us”), Website (https://bitquery.io). The Terms of Service provide information about your use and/or access to Bitquery’s resources, websites, features, or other services (“Services”; “Service”).

Terms of Service apply to all visitors, users, and others who access Services of Bitquery (“User”, “you”, “your”). Your use of the Service is based on your agreement to these Terms of Service. To the maximum extent permitted under applicable law, the Service is provided on an “as is” and “as available” basis. We expressly disclaim, and you waive, all warranties of any kind, whether express or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement as to the Service, including the information, content, and materials contained therein.
You acknowledge that information you store or transfer through our services may become irretrievably lost, or corrupted or temporarily unavailable due to a variety of causes, including software failures, protocol changes by third party-providers, internet outages, force majeure events or other disasters, scheduled or unscheduled maintenance, or other causes either within or outside our control. You are solely responsible for backing up and maintaining duplicate copies of any information you store or transfer through our services.
1. SERVICES OF BITQUERY
Bitquery offers its Application Programming Interface (API) Services, which are available for utilization strictly at the User's discretion and risk.
By employing these types of services, the User expressly recognizes and agrees that Bitquery shall bear no responsibility or liability for any losses, damages, or detriments arising from, associated with, or in any way connected to the use, deployment, installation, or any attempted use of the API.
2. ACCEPTABLE USE
You agree to use the Service in accordance with the applicable law and regulations and in accordance with these Terms of Service. You are the sole responsible person for conduct while using the Service. Unless otherwise stated or agreed, you must not:
- use the Service, directly or indirectly, in any manner that could cause the Service so used to: (i) be a substitute for the Service by a third party, (ii) affect Bitquery's ability to realize revenue in connection with the Service, or (iii) compete with Bitquery's business;
- utilize the data acquired via the Services under free subscription plans for purpose other than technical development. Disclosure and open publication of data obtained through the Services is permitted solely and exclusively for Users who have gained access to Services under a paid plan;
- copy, reproduce, modify, distribute, duplicate, republish, hyperlink, copy or disclose the Service without prior written consent of Bitquery;
- sell, resell, license, rent or sub-license material of Bitquery;
- introduce any malicious software, viruses, trojan worms, logic bombs, or other harmful materials, nor engage in any form of hacking of the Service;
- develop any third-party applications that interact with the Service without our prior written consent;
- use automated methods not authorized by us, such as robots, spiders, crawlers, scrapers, or similar technologies, to access or extract data from the Service.
The following organizations may create link to Services without prior written approval of Bitquery:
- government agencies;
- search engines;
- news organizations;
- online directory distributors, when they list us in the directory may link to our Web site in the same manner as they hyperlink to the Web sites of other listed businesses; and
- Systemwide Accredited Businesses except soliciting non-profit organizations, charity shopping malls, and charity fundraising groups which may not hyperlink to our Web site.

Not receiving an answer should not be interpreted as consent. The direct and unequivocal consent is granted at Bitquery's sole discretion.
3. INTELLECTUAL PROPERTY RIGHTS
Bitquery retains all rights, including all copyright and other intellectual property rights, in all content and other materials contained on our website or provided in connection with the Service. You receive no license or usage rights to the Service other than what is explicitly stated in the Terms of Service.
4. CONSENT TO PRIVACY POLICY
By using and/or accessing Services of Bitquery, you acknowledge that you have read and agree to our Privacy Policy, which forms a part of this Agreement, and you consent to our collection, use and/or disclosure or handling of your Personal Data for the purposes set out in the Privacy Policy.
5. LIMITATION
Except as otherwise required by law or agreement, in no event shall Bitquery be liable for any special, indirect or consequential damages, or any other damages of any kind, including but not limited to loss of use, loss of profits or loss of data, arising out of or in any way connected with the use of or inability to use the Service, including without limitation any damages resulting from reliance by you on any information obtained from using the Service.
6. INDEMNITY
You hereby agree to indemnify Bitquery and hold Bitquery harmless from and against any and any claim, loss, liability, cost, and expense (including but not limited to legal costs and expenses on a full indemnity basis) made against or suffered or incurred by Bitquery which has arisen directly or indirectly out of:
- your access to or use services and the Contents or any part thereof, as the case may be;
- your breach of any of the Terms of Service.
7. AMENDMENTS AND CHANGES
We reserve the right, at our sole discretion, to modify, replace, amend and change the Terms of Service at any time. If a revision is material, we will make public announcement prior to any new provisions of the Terms taking effect. What constitutes a material change shall be determined at our sole discretion.
By continuing to access or use the Service after those revisions become effective, you agree to be bound by the revised terms.
8. THIRD PARTY LINKS
In instances where Services of Bitquery provide any links to resources of any parties this should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of such resources. You are responsible for deciding if you want to access or use third-party applications or sites. Except to the limited extent it may be required by applicable law, Bitquery is not responsible for third party websites or apps accessible via link – your use of them is exercised at your own discretion and risk.
9. NOTICES AND MESSAGES
You agree that Bitquery may provide notices, messages relating to its announcements, updates, marketing news to you through our Site, applications, or via e-mail. In the event that you prefer to discontinue receipt of our communications, you should choose the “unsubscribe” option, which is provided in each message we dispatch. Upon exercising this option, you will cease to receive the correspondence from our end. Notwithstanding, we reserve the right to send announcements pertinent to your prior engagements with us.
10. EXPORT CONTROL NOTICE
In accordance with the designations issued by the U.S. Office of Foreign Assets Control (OFAC), and our obligations as a U.S. entity, we will not be able to provide you access to our products and services if you are:
- signing up on behalf of a Russia-based entity.
- planning to use data, obtained through Services for business purposes in the Russian Federation.

11. GOVERNING LAW
Terms of Service shall be governed and construed in accordance with the Law of the state of Delaware, without regard to its conflict of law provisions.
You irrevocably agree that the Delaware courts shall have non-exclusive jurisdiction to hear and decide any suit, action or proceedings or settle any dispute arising out of or in connection with the Service.
12. TERMINATION
Bitquery reserves the right to terminate your access to and use of the Site, without notice and liability, including, without limitation, if we believe your conduct fails to conform with these Terms of Service. Bitquery reserves the right to investigate suspected violations of these Terms of Use.
